Legal entity
SpaceFile is preparing to relaunch through a planned U.S. corporate structure, with SpaceFile Inc. intended to become the operating company. Until formation and documentation complete, the round is raised on the founder's undertaking to assign subscriptions into that entity.
IP ownership
The original architecture is documented in a 365-page international patent application published in 2021, naming Timothy E. Burke as inventor. The historical application, WO2021030288A1, is now ceased and was not granted as an active patent. Rights in remaining RUON assets and records sit with their historical holders; legally available assignments into SpaceFile Inc. are a Phase 1 milestone and have not yet been made.

Use of the initial tranche

Money transmission is licensed per corridor. We partner with licensed disbursement institutions first and hold our own permissions later.

No launch on the critical path. Nodes fly as software or hosted payloads on operating satellites from more than one supplier.

Demand is contracted before hardware ships — institutional aid partners commit volume ahead of each connectivity-box tranche.
Capital
Tranched funding released on proven milestones, so a missed gate stops spend rather than compounding it.
